This Public Offer (hereinafter the "Offer") constitutes an official proposal by Vse Shiny LLP (hereinafter the "Seller") to conclude a distance sale-and-purchase agreement with any individual or legal entity (hereinafter the "Buyer") who places an order in accordance with the terms set out below.

1. General Provisions

1.1. This Offer is governed by the Civil Code of the Republic of Kazakhstan, the Law of the Republic of Kazakhstan "On Protection of Consumer Rights", and the Law of the Republic of Kazakhstan "On Personal Data and Their Protection".

1.2. Acceptance of this Offer takes place when the Buyer places an order on heidenau.kz or makes payment for the goods. A binding agreement is formed at the moment of acceptance.

1.3. By placing an order, the Buyer confirms that they:

• are at least 18 years of age, or have the consent of a legal guardian;
• agree fully and unconditionally to the terms of this Offer.

1.4. This Offer takes effect from the date of publication on heidenau.kz and remains valid until withdrawn by the Seller.

1.5. The Seller reserves the right to amend or withdraw this Offer at any time by publishing the updated version on the website. Orders placed prior to any amendment remain governed by the terms in force at the time of acceptance.

2. Subject Matter

2.1. The Seller undertakes to transfer ownership of motorcycle tyres, inner tubes, and related goods (hereinafter the "Goods") to the Buyer, and the Buyer undertakes to accept and pay for the Goods.

2.2. The name, quantity, price, and specifications of the Goods are determined by the Order Confirmation sent to the Buyer.

3. Product Information

3.1. Goods are presented on the website through images and technical specifications. The Seller undertakes to provide accurate and complete product descriptions.

3.2. The appearance of goods may differ slightly from images on the website; such differences do not affect the operational characteristics of the tyres.

3.3. The Buyer is advised to consult the Seller's manager before selecting a tyre size or model. The Seller is not liable for an incorrect choice made on the basis of accurate information provided; however, statutory warranty rights under consumer protection law remain unaffected.

4. Price and Payment

4.1. Prices are stated in Kazakhstani Tenge and are inclusive of all applicable taxes. The Seller may change prices at any time; however, the price applicable to a confirmed order shall not change after acceptance.

4.2. The following payment methods are available:

• payment by bank card online;
• bank transfer (corporate invoice);
• cash or QR-code payment upon collection or delivery.

4.3. When payment is made by bank transfer, the order is held for up to 3 business days. If payment is not received within this period, the order will be automatically cancelled.

5. Delivery

5.1. Delivery is available throughout the Republic of Kazakhstan. Delivery terms, timelines, and costs are confirmed at the time of ordering or agreed with the Seller's manager.

5.2. Title to the Goods and the risk of loss or damage passes to the Buyer at the moment of delivery.

5.3. Where goods are delivered via a third-party carrier, liability conditions are governed by that carrier's rules. The Buyer must inspect the external condition of the packaging upon receipt.

5.4. If packaging is damaged or goods are missing, the Buyer must prepare a deficiency report together with the carrier's representative. Claims relating to damage in transit will not be considered without such a report.

6. Warranty and Returns

6.1. A warranty is provided in accordance with the manufacturer's terms and applicable legislation of the Republic of Kazakhstan.

6.2. Goods of satisfactory quality may be returned within 14 calendar days of receipt, provided that their original condition and consumer properties are preserved.

6.3. Return of satisfactory-quality goods is not permitted where there is evidence of use, including:

• mounting on a rim, wear, or mechanical damage;
• damage to original packaging or markings.

6.4. In the event of a manufacturing defect, the Buyer retains the right to return or exchange the goods regardless of the above. Where a defect is alleged, an expert examination may be conducted. Warranty obligations are governed by the Law of the Republic of Kazakhstan "On Protection of Consumer Rights".

7. Order Cancellation

7.1. The Buyer may cancel an order before dispatch by contacting the Seller at +7 702 280-79-90 or [email protected].

7.2. Cancellation after dispatch is subject to the return procedure set out in Section 6 of this Offer.

7.3. Payments already made will be refunded within 10 business days of confirmation of the cancellation.

8. Liability

8.1. The Seller shall not be liable for any loss or damage resulting from incorrect selection of goods by the Buyer or from use of the goods in violation of applicable instructions.

8.2. The Seller shall not be liable for delays caused by technical failures of the website, interruptions to communications, or actions of third parties.

8.3. Neither party shall be liable for non-performance of obligations where such non-performance is caused by force majeure circumstances, including but not limited to natural disasters, acts of war, governmental orders, epidemics, or widespread disruption to internet or communications infrastructure, provided the affected party promptly notifies the other party of the occurrence.

9. Dispute Resolution

9.1. In the event of a dispute arising under this agreement, the Buyer may submit a written complaint to the Seller at [email protected] or by post to the registered address.

9.2. The Seller undertakes to respond within 10 business days of receipt of the complaint.

9.3. If the parties are unable to reach agreement, the dispute shall be referred to the competent court of Astana, Republic of Kazakhstan, in accordance with applicable law.

10. Personal Data

10.1. By placing an order, the Buyer grants consent to the processing of their personal data for the purposes of performing this agreement.

10.2. Processing is carried out in accordance with the Law of the Republic of Kazakhstan "On Personal Data and Their Protection".

10.3. The Seller may share data with third parties solely for the purposes of order fulfilment, including delivery services and payment processing.

10.4. The Buyer may request access to, correction of, or deletion of their personal data by contacting [email protected]. Data is retained for no longer than 5 years following fulfilment of the order.

11. Final Provisions

11.1. This Offer supersedes all prior agreements between the parties relating to its subject matter.

11.2. Matters not addressed by this Offer are governed by the laws of the Republic of Kazakhstan.

11.3. If any provision of this Offer is found to be invalid, the remaining provisions shall continue in full force and effect.
